1. DATES OF SWEEPSTAKES.

Sweepstakes begins at 10:30:00 am Pacific Standard Time (“PST”) on November 23, 2024 and ends at 11:59:59 pm PST on November 30, 2024 (the “Sweepstakes Period”).

Due to technical issues, Sweepstakes Period has been extended to December 9, 11:59:59 pm PST.

2. SPONSOR.

3. ELIGIBILITY.

Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are twenty-one (21) years of age or older as of the date of entry (the “Entrant”). Void outside of the fifty (50) United States and the District of Columbia, and where prohibited, taxed or restricted by law. Officers, directors, managers, and employees of the Sponsor, and each of its respective parents, subsidiaries, affiliates and related companies and their respective advertising and promotion agencies, consultants and agents, as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution or distribution of this Sweepstakes (collectively the “Sweepstakes Entities”) are not eligible to participate. “Immediate family member” shall be deemed to mean husband, wife, children, mother, father, sister, sister in-law, brother or brother in-law. Sweepstakes may only be entered in or from the fifty (50) United States and the District of Columbia and entries originating from any other jurisdiction are not eligible for entry. All federal, state and local laws and regulations apply. Eligibility is at the exclusive discretion of the Sponsor, and the Sponsor shall be entitled to reject any entrant for any reason or no reason at all without having to provide an explanation.

4. HOW TO ENTER.

To enter, watch our streaming (https://www.youtube.com/live/7hJ7-oUKQ7E) during the specified 30-minte periods: 10:30 a.m. PST to 11:00 a.m. PST, 1:30 p.m. PST to 2:00 p.m. PST and 3:30 p.m. PST to 4:00 p.m. PST on November 23, 2024 (the “Keyword Time”). During each Keyword Time, one (1) keyword (the “Keyword”) will be announced. Please note that the same Keyword will be announced during each 30-minute Keyword Time period.

To enter the Sweepstakes, go to our streaming URL (https://www.youtube.com/live/7hJ7-oUKQ7E) and follow the online instructions to complete all the required information, including the Keyword, and submit an online entry during the Sweepstakes Period.

There is a limit of one (1) entry per person. Multiple entries submitted or completed by anyone other than the Entrant are void. Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant’s entry and that the Entrant may be disqualified from the Sweepstakes. Subsequent attempts made by the same individual to submit multiple entries may result in disqualification of the Entrant. In case of dispute as to the identity of any Entrant, entry will be declared made by the registered name and address on such entry. Any potential prize winner may be requested to provide the Sponsor with proof that such person is the prize winner. Entries are limited to individuals only; commercial enterprises and business entities are not eligible. Use of a false account will disqualify an entry. The Sponsor is not responsible for entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties, and other technological problems. Entries which are late, lost, stolen, tampered with, illegible, incomplete, mechanically reproduced (including, but not limited to, any robotic, automatic, programmed or similar entry method), inaccurate, forged, irregular in any way or otherwise not in compliance with these Official Rules will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned.

If entering with a mobile phone or other web-enabled device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply. Check with your wireless service provider for details on these and any other applicable charges. Entrants are solely responsible for any such wireless charges.

5. PROVISION OF MATERIALS AND INFORMATION/INTELLECTUAL PROPERTY.

By entering into the Sweepstakes, each Entrant represents and warrants as follows: (1) that it fully owns or has properly licensed whatever materials or information it submits hereunder in connection with the Sweepstakes and can make such submissions without violating any applicable law, agreement with any third-party, and/or third-party right of any kind (including without limitation any intellectual property, data protection, privacy, or publicity right); and (2) that any and all materials or information provided by it hereunder shall be true and correct in all respects. Furthermore, without limitation on anything set forth herein to the contrary, the Sponsor shall have the irrevocable, transferable, and fully sublicensable right and license (but not the obligation) to exploit any and all such materials or information in any manner it so elects to promote the Sweepstakes, its business, brand, products, and/or services, throughout the world in perpetuity, and in any and all media, now or hereafter known.

6. DRAWING/ODDS.

A random drawing will be conducted on or about December 5, 2024 (the “Selection Date”) from among all eligible entries received. The Sponsor will determine, at its sole discretion, which prize will be allocated to each winner. Each winner is awarded one prize. Assignment and allocation of all prizes to winners is ultimately in Sponsor’s sole discretion. Odds of winning depend on the number of eligible entries received for the Sweepstakes. By entering the Sweepstakes, all Entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Entities, which will be final and binding in all matters relating to the Sweepstakes.

The Selection Date shall be changed to December 12, 2024.

To be eligible to receive a prize, all Entrants must have an address on file with the Sponsor or have provided an address when prompted at the time of entry. In the event that an Entrant has an incomplete address, the Entrant will be disqualified, and an alternate prize winner will be selected in a random drawing.

7. PRIZES.

five (5) prizes will be awarded, each consisting of a one (1) figure and winners choice of one (1) download code for Fate/Samurai Remnant on Nintendo Switch™ or PlayStation®5. Total approximate retail value of all prizes is US$400.00 (US$80 each). Limit one (1) prize per person. No substitution or transfer of prize permitted by winner. The Sponsor reserves the right to substitute a prize of equal value.

8. ACCEPTANCE OF THE PRIZE.

Potential prize winners will be notified by the Sponsor by e-mail on or about December 7, 2024. The Sponsor is not responsible for suspended or discontinued Internet, wireless, or land-line phone service or a change in an entrant’s email, phone number or mailing address which may result in a potential winner not receiving initial prize notification or his/her prize information. The winners will be required to verify his or her address and may be required to execute the following document(s) before a notary public and return them within seven (7) days (or a shorter time if required by exigencies) of receipt of such documents: an affidavit of eligibility, a liability release, and (where imposing such condition is legal) a publicity release covering eligibility, liability, advertising, publicity and media appearance issues (collectively, the "Prize Claim Documents"). If an Entrant is unable to verify the information submitted with their entry, the Entrant will automatically be disqualified and their prize, if any, will be forfeited. The prize will not be awarded until all such properly executed and notarized Prize Claim Documents are returned to Sponsor. In the event the Prize Claim Documents are not returned within the specified period, an alternate Winner may be selected by Sponsor for such prize. The prize will be shipped or emailed to the Winner within fourteen (14) days of Sponsor's receipt of a signed Affidavit and Release from the Winner. The Winner is responsible for all taxes and fees related to the prize received, if any.

9. OTHER RULES AND CONDITIONS.

This Sweepstakes is conducted in English. In the event of any discrepancy or inconsistency between the terms and conditions of these English Official Rules or other statements contained in any Sweepstakes-related materials, including, but not limited to any entry form, survey, or point of sale, television, print or online advertising, then the terms and conditions of these English Official Rules shall prevail, govern and control. All federal, state and local taxes are the sole responsibility of the prize winners. The Sponsor reserves the right to verify eligibility of Entrants and disqualify permanently from this Sweepstakes any Entrant it believes has violated these Official Rules. Neither Sponsor nor anyone acting on its behalf will enter into any communications with any Entrant regarding this Sweepstakes, except as expressly set forth in these Official Rules. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. All Sweepstakes materials are subject to verification and are void if (a) not obtained in accordance with these Official Rules and through legitimate channels, (b) any part is counterfeited, altered, defective, damaged, illegible, reproduced, tampered with, mutilated or irregular in any way, (c) are obtained where prohibited, or (d) they contain printing, typographical, mechanical, or other errors. The Sponsor prohibits an Entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes for any reason and without prior notice to any Entrant. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.

10. DISCLAIMER.

EXCLUDING ONLY APPLICABLE MANUFACTURERS' WARRANTIES, THE PRIZE IS PROVIDED TO THE WINNER ON AN "AS IS" BASIS, WITHOUT FURTHER WARRANTY OF ANY KIND. SPONSOR HEREBY DISCLAIMS ALL FURTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, QUALITY, TITLE OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE PRIZE. The Sponsor is not responsible for replacing the prize if damaged unless such damage is caused by the Sponsor. Winner must look to the prize's manufacturer for potential guarantees or warranties of any kind. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, or failure of any e-mail or entry to be received by the Sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including, without limitation, any injury or damage to any Entrant's or any other person's computer related to or resulting from participating or downloading any materials in this Sweepstakes.

11. RELEASE; LIMITATION OF LIABILITY.

12. DISPUTES.

As a condition of participating in the Sweepstakes, the Entrant agrees that any and all disputes that cannot be resolved between the Entrant and the Sponsor, and causes of action arising out of or connected with the Sweepstakes or these Sweepstakes Rules, shall be resolved individually, without resort to any form of class action (i.e., CLASS ACTION SUITS ARE HEREBY WAIVED BY THE PARTIES), exclusively before a court of competent jurisdiction located in Los Angeles, California, and the Entrant irrevocably consents to the jurisdiction of the federal and state courts located in Los Angeles, California with respect to any such dispute, cause of action, or other matter. All disputes will be governed and controlled by the laws of the State of California (without regard for its conflicts-of-laws principles). EACH PARTY EXPRESSLY WAIVES ANY RIGHT TO A TRIAL BY JURY.
